Protera Health Telehealth Consent
What telehealth is
Telehealth lets you meet with your Protera Health care team by secure video, audio, messaging, or other electronic tools instead of in person. Care may be delivered in real time (live video or phone) or asynchronously (for example, by reviewing photos, forms, or messages you send).
Who we are
This consent covers care provided by Protera Health, Inc., Protera Health Medical Group, PC, and Protera Health Medical Group of Michigan, PC (together, "Protera Health").
How telehealth works
During a telehealth visit, your clinician may review your medical history, discuss your symptoms, observe you by video, and recommend testing or treatment. Because the visit is virtual, your clinician may not perform a full physical exam and will rely on the information you share. If the technology is not working well or a virtual visit is not appropriate, you or your clinician may stop the visit and reschedule, or you may be referred for in-person care.
Benefits and risks
Telehealth can save you time and travel and make it easier to access care. Telehealth also has limits and risks, including interruptions or poor connections, and the risk of unauthorized access to electronic information despite reasonable safeguards. If your needs are better met in person, we may ask you to schedule an in-person evaluation.
Your consent to evaluation and treatment
By consenting, you allow Protera Health clinicians and care team members to evaluate and treat you via telehealth. This may include medical guidance, wellness advice and counseling, physical therapy or exercise instruction, prescriptions, lab work, imaging, diagnostic tests, and other outpatient procedures, as appropriate and allowed by law. You may decline or withdraw from any part of your treatment at any time.
Your information and privacy
We use reasonable safeguards to protect your information. Your health information may be documented in our electronic medical record and may be shared, accessed, or transmitted through electronic systems, including third-party platforms, for scheduling, billing, and clinical care. Members of your Protera Health care team may view your information to support your treatment. With your permission and when required by law, we may share information from your telehealth visit with your primary care clinician or other providers. Please review Protera Health's Notice of Privacy Practices for details.
Communications and technology
Telehealth may use third-party platforms. Other authorized personnel may help operate these platforms, and reasonable steps will be taken to maintain confidentiality. We may contact you through the contact information you provide (including email, SMS/text, or patient portal) about appointments, test results, prescriptions, and follow-up. Standard messaging and data rates may apply. Do not record telehealth visits unless your clinician agrees in advance.
Prescriptions, labs, and partners
If appropriate, your clinician may prescribe medication or order labs or imaging. Prescriptions may be routed to a pharmacy you choose. We may work with third-party pharmacies, laboratories, imaging centers, or other partners to support your care. Use of any medication or service is your choice, and alternatives may be available.
Your responsibilities
Please share complete and accurate information about your health and medications, use a private space and a reliable connection when possible, and tell your clinician if the technology is not working or you cannot safely continue. Keep your contact and pharmacy information up to date. Tell us where you are located at the time of your visit; laws and clinical standards vary by state, and you must be located in a state where your clinician is authorized to practice.
No guarantees
People respond differently to care. Protera Health does not guarantee that a specific recommendation or treatment will improve your condition. In some cases, symptoms may persist or, rarely, worsen. Please communicate any concerns or side effects to your care team promptly.
Emergencies and urgent issues
Telehealth is not for emergencies. If you have a medical emergency, call 911 or go to the nearest emergency room. For urgent symptoms after a visit, follow your clinician's instructions or contact your care team.
Questions and complaints
If you have questions about telehealth, ask your clinician before or during your visit. You may file a complaint with your state medical board regarding telehealth services; contact information is available on request.
Your agreement
I have read this document in its entirety and confirm that I:
- Understand the risks, benefits, and alternatives to telehealth.
- Consent to receive telehealth services from Protera Health as described above.
- Authorize Protera Health to use and disclose your health information as outlined in this consent and in our Notice of Privacy Practices.

This Notice of Privacy Practices ("Notice") describes how medical information about you may be used and disclosed and how you can get access to this information. Please review it carefully. Questions about this Notice can be directed to Protera Health Medical Group, PC and Protera Health Medical Group of Michigan, PC (together, "Protera Health") at care@proterahealth.com.
Your Information. Your Rights. Our Responsibilities.
- You have rights regarding your health information, including to get a copy of your record, correct your record, request confidential communications, ask us to limit what we use or share, get a list of certain disclosures, choose someone to act for you, get a copy of this Notice, and file a complaint if you believe your rights have been violated.
- We may use and share your information to treat you, run our organization, and bill for your services, and for other purposes allowed by law such as public health and safety, research, law enforcement, and responding to legal actions.
- We are required by law to maintain the privacy and security of your protected health information ("PHI"), provide you with this Notice, follow its terms, notify you of certain breaches, and apply more protective laws when they offer greater privacy protections than HIPAA.
Who We Are
This Notice describes the privacy practices of Protera Health, including its affiliated professional corporations, clinicians, employees, contractors, and other personnel involved in your care or supporting services. These practices apply when we provide care in person, by telehealth or virtual visits, and through our websites, patient portals, mobile applications, and related services.
Our Responsibilities
We are required by federal law (HIPAA) to protect the privacy and security of your PHI. We will:
- Provide this Notice and follow the terms of the Notice that is currently in effect.
- Notify you following a breach of your unsecured PHI, as required by law.
- Limit the use and disclosure of your PHI to the minimum necessary when required by law.
- Comply with more protective state or federal laws that give you additional rights or protections.
How We May Use and Disclose Your Health Information
Below are examples of how we use and share your PHI without your written authorization, as permitted or required by law. Not every use or disclosure is listed, but all that we make will fall within these categories or as otherwise allowed by law.
For Your Treatment
We use and share your PHI to provide, coordinate, and manage your health care, including in-person and telehealth visits, consultations, follow-up care, referrals, and coordination with other providers. For example, we may share information with your primary care provider, specialists, pharmacies, labs, imaging centers, or other members of your care team. We may contact you about appointments, test results, prescriptions, or treatment options and health-related services that may be of interest to you.
For Payment
We use and share your PHI to obtain payment for services we provide to you. For example, we may share information with your health plan to determine coverage, obtain prior authorization, receive payment, or bill you or a responsible party.
For Health Care Operations
We use and share your PHI for activities necessary to operate our practice, improve quality, and support our business functions. For example, we may use PHI for quality assessment and improvement, patient safety, credentialing, training, audits, compliance programs, customer service, and other administrative purposes. We may also use de-identified information and limited data sets for health care operations, research, and public health, as permitted by law and under required agreements.
Communications, Telehealth, and Digital Services
We may communicate with you by phone, mail, email, text message, patient portal, or through our telehealth and mobile applications, consistent with applicable law and your communication preferences.
Business Associates
We may share your PHI with companies or individuals that perform services on our behalf (such as billing, information technology, telehealth platforms, cloud hosting, analytics, or consulting). These business associates must sign written agreements requiring them to protect your PHI and use it only for the services they provide to us.
Health Information Exchanges and Care Coordination
Where available, we may participate in electronic health information exchanges or similar networks to share your PHI with other health care providers and health plans involved in your care or payment for your care. You may have rights under applicable law to opt out of certain health information exchanges.
Public Health and Safety
We may share your PHI for public health and safety purposes, such as reporting certain diseases or conditions, injuries, births, and deaths; reporting adverse events related to medications or medical devices; reporting suspected abuse, neglect, or domestic violence; and preventing or reducing a serious threat to anyone's health or safety.
Health Oversight, Legal, and Law Enforcement
We may share your PHI with government agencies for activities authorized by law, such as audits, inspections, licensure, or investigations. We may also share PHI in response to a court or administrative order, subpoena, discovery request, or other lawful process, and for certain law enforcement purposes when the legal requirements are met.
Research and De-identified or Limited Data
We may use and share your PHI for research when the research has been approved by an institutional review board or privacy board, or when your information has been de-identified so it no longer identifies you. We may also share a limited data set with certain direct identifiers removed, under a data use agreement, for research, public health, or health care operations.
Organ Donation, Coroners, and Funeral Directors
We may share PHI with organ procurement organizations, transplant centers, coroners, medical examiners, and funeral directors as necessary to carry out their duties, consistent with applicable laws.
Special Government Functions and Workers' Compensation
We may share PHI for certain specialized government functions, such as military or veterans' activities, national security, intelligence, or protective services, as permitted by law. We may also share PHI as authorized to comply with workers' compensation or similar programs that provide benefits for work-related injuries or illness.
Correctional Institutions and Custodial Situations
If you are in the custody of a correctional institution or law enforcement official, we may share PHI with the institution or official as necessary for your health and safety, the safety of others, or the operations of the correctional institution.
Individuals Involved in Your Care or Payment
Unless you object, we may share limited PHI with a family member, friend, or other person you identify who is involved in your care or helps pay for your care, or to notify them of your location, general condition, or death. In an emergency or when you are unable to agree or object, we may share information that we believe is in your best interest, consistent with law.
Uses and Disclosures That Typically Require Your Written Authorization
For uses and disclosures not described in this Notice, we will obtain your written authorization before using or sharing your PHI, unless the use or disclosure is otherwise permitted or required by law.
- Most uses and disclosures of psychotherapy notes (where applicable).
- Most uses and disclosures of your PHI for marketing purposes that are not simple face-to-face communications or promotional gifts of nominal value.
- Any sale of your PHI, as defined by law.
- Any other use or disclosure of PHI that is not otherwise described in this Notice or permitted by law.
You may revoke an authorization at any time in writing, except to the extent we have already acted in reliance on it.
In the case of fundraising, we may contact you for fundraising efforts, but you can tell us not to contact you again.
Your Rights Regarding Your Health Information
When it comes to your PHI, you have certain rights. These rights may be subject to limits under HIPAA and applicable state law.
Right to Inspect and Obtain a Copy
You may ask to see or get an electronic or paper copy of your medical and billing records and other PHI we maintain about you. We will provide a copy or summary, usually within 30 days of your written request, and may charge a reasonable, cost-based fee as allowed by law.
Right to Request an Amendment
If you believe information in your record is incorrect or incomplete, you may ask us in writing to correct or supplement it. We may deny your request in certain circumstances, but if we do, we will tell you why in writing within 60 days and explain your options.
Right to Request Restrictions
You may ask us to limit how we use or share your PHI for treatment, payment, or health care operations, or with individuals involved in your care or payment. We are not required to agree to most requested restrictions. However, if you pay for a service or health care item out-of-pocket in full, you can ask us not to share that information with your health plan for payment or health care operations. We will honor that request unless a law requires us to share the information.
Right to Request Confidential Communications
You may ask us to contact you in a specific way (for example, at a particular mailing address, phone number, or email) or to send mail to a different address. We will accommodate reasonable requests.
Right to an Accounting of Certain Disclosures
You may request a list of certain disclosures we have made of your PHI during a period of up to six years before the date of your request, excluding disclosures made for treatment, payment, health care operations, and certain other disclosures permitted by law. The first list in a 12-month period is free; we may charge a reasonable, cost-based fee for additional lists.
Right to a Copy of This Notice
You may request a paper copy of this Notice at any time, even if you agreed to receive it electronically. The current version of this Notice will also be available in our offices and, if applicable, on our website or patient portal.
Right to Choose a Personal Representative
If you have given someone medical power of attorney or if someone is your legal guardian or otherwise authorized by law to act for you, that person may exercise your rights and make choices about your PHI, subject to verification and applicable law.
Right to Be Notified of a Breach
You have the right to be notified if we or one of our business associates discovers that your unsecured PHI has been compromised in a way that meets the legal definition of a breach.
Special Protections for Certain Types of Information
Certain types of information may be subject to additional protections under federal or state law, such as information related to reproductive and sexual health, mental health treatment, substance use disorder treatment, HIV/AIDS status, genetic information, or services for minors who may consent to their own care. When these laws are more protective than HIPAA, we will follow the more protective requirements. We may also follow more restrictive state laws that limit disclosure of certain information without your written permission.
Changes to This Notice
We may change our privacy practices and this Notice at any time, as long as the changes comply with applicable law. When we make a material change, the updated Notice will apply to all PHI we maintain, including information created or received before the change. We will post the current Notice in our offices and on our website (if applicable), and we will provide copies upon request. The effective date is listed at the top of this Notice.

If you have questions about this Notice, want to exercise your rights, or need help, please contact us at care@proterahealth.com. If you believe your privacy rights have been violated, you may file a complaint with Protera Health using the contact information above, or with the U.S. Department of Health and Human Services, Office for Civil Rights. We will not retaliate against you for filing a complaint. A complaint to the Secretary should be filed within 180 days of the occurrence of the complaint or violation.
Acknowledgment of Receipt
You may be asked to sign a separate form acknowledging that you received this Notice. Your treatment with us will not be conditioned on signing the acknowledgment.

The Services are provided "as is" and "as available." To the fullest extent permitted by law, Protera Health and its suppliers and licensors disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Services or servers are free of viruses or other harmful components. You assume all risk for your use of the Services.
1. Introduction and Agreement to Terms
Welcome to Protera Health. Our services are offered through our websites (including proterahealth.com and myproterajourney.com) (collectively, the "Site"), mobile or web applications (each, an "App"), and through telehealth delivery (together with the Site and App, the "Services"). The Services are provided by Protera Health, Inc. and/or one or more independent Professional Corporations for which Protera Health, Inc. provides administrative and management services (the "Professional Corporations") (collectively, "Protera Health," "we," "us," or "our").
By creating an account, accessing, or using the Services, you agree to these Terms of Use and to our Privacy Policy (collectively, the "Terms"). If you do not agree to the Terms, do not access or use the Services. We may update the Terms from time to time, and your continued use of the Services constitutes acceptance of the updated Terms.
2. Corporate Practice of Medicine; Scope of Services
Protera Health, Inc. is not a medical provider and does not practice medicine or physical therapy. Clinical services are provided exclusively by independent, state-licensed health care professionals practicing through the Professional Corporations (collectively, the "Health Care Professionals"). Protera Health may provide administrative, technological, and operational support to facilitate your access to the Health Care Professionals.
The Services may include telehealth visits (e.g., synchronous audio-video consults), care navigation, clinical messaging, personalized education, care plans, and related tools. Any content available on the Services is for informational purposes only and is not a substitute for professional medical advice, diagnosis, or treatment. The Services are not a replacement for a relationship with a primary care provider. You should follow the recommendations of Health Care Professionals and seek in-person care when advised or when otherwise needed.
3. No Medical Advice; Telehealth Consent; No Emergency Care; No Warranty of Results
Content on the Services is provided for general informational purposes only and is not medical advice. The foregoing limitation does not apply to care provided by Health Care Professionals through use of the telehealth features of the services. By using the telehealth features of the Services, you consent to the use of telehealth for diagnosis, treatment, follow-up, and related activities, subject to applicable laws. For more information, please read the Telehealth Consent.
The Services do not provide emergency care. Protera Health does not guarantee specific outcomes or results from use of the services.
4. Eligibility; Minors
To create an account or use the Services, you must be at least 18 years old and capable of forming a binding contract, or the parent or legal guardian of a minor. Where permitted by applicable law, certain minors may consent to services without parental involvement. Minors under 18 are not permitted to use the Services or to create an account.
5. Accounts, Registration, and Security
You agree to provide accurate, current, and complete information when creating and maintaining your account, and to keep such information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify Protera Health immediately of any unauthorized use. You must exit your account at the end of each session and use caution on public or shared devices. Protera Health is not liable for loss or damage resulting from your failure to comply with these obligations.
6. Acceptable Use; License and Ownership
Protera Health grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use and in accordance with these Terms. You will not: reverse engineer, decompile, or disassemble the Services; use the Services in violation of applicable law; infringe intellectual property or privacy rights; distribute malware; harass or abuse others; or attempt to gain unauthorized access to the Services or related systems. All rights, title, and interest in the Services, including all software, content, text, graphics, logos, and trademarks, are owned by Protera Health or its licensors. You may not use any Protera Health marks or content except as expressly authorized.
If you submit feedback, suggestions, or ideas ("Feedback"), you grant Protera Health an unrestricted, perpetual, irrevocable, worldwide, royalty-free right to use and exploit such Feedback without compensation or obligation to you.
7. Communications; Text Messaging and Notices
By providing your email address and/or telephone number, you consent to receive communications from Protera Health related to your account and the Services, including appointment reminders, service announcements, and administrative messages, via email, SMS/text, voice calls, or in-app push notifications. Message and data rates may apply. You may opt out of SMS/texts at any time by replying STOP, or by contacting care@proterahealth.com. Opting out of certain communications may impact your ability to use aspects of the Services. Delivery of communications is effective when sent by Protera Health, regardless of whether you read or receive them.
Do not use email or SMS for urgent or emergency matters. If you are, or could be, experiencing an emergency, call 911 immediately.
8. Privacy; HIPAA; Data Security
Protera Health is committed to protecting your privacy and the security of your information and will process and use your personal information as described in our Privacy Policy. Our use and disclosure of protected health information (PHI) is governed by the Professional Corporations's Notice of Privacy Practices and our business associate agreement (BAA) with them, and applicable federal and state law, including HIPAA. Some portions of the Services may be provided by third-party vendors or platforms, which may process personal information on our behalf. Electronic communications and storage systems use reasonable administrative, technical, and physical safeguards; however, no system is entirely secure, and you acknowledge inherent risks associated with electronic transmission and storage.
9. Geographic Restrictions; Licensing; Disclosures
The Services are offered in the United States only. Health Care Professionals will provide clinical services only in states in which they are licensed and where you are physically located at the time of service. You represent and warrant that you are physically located in a state where the Health Care Professional is licensed at the time Services are provided. Health Care Professionals are licensed by state professional boards. Records are maintained in accordance with applicable retention laws.
10. Third-Party Platforms, Content, and Links
The Services may incorporate or link to third-party applications, products, content, and websites. Protera Health does not control and is not responsible for third-party sites, services, or content, or their privacy and security practices. Your use of third-party services is governed by their terms and policies.
11. Limitation of Liability
To the fullest extent permitted by law, in no event will Protera Health, the Professional Corporations, or their respective officers, directors, employees, contractors, agents, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, goodwill, data, or other intangible losses, arising out of or related to your use of or inability to use the Services. To the fullest extent permitted by law, Protera Health's total liability for any claims arising out of or relating to these Terms or the Services shall not exceed the greater of (a) one hundred dollars ($100) or (b) the amount you paid to Protera Health for the Services giving rise to the claim during the twelve (12) months preceding the event giving rise to liability. Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.
12. Indemnification
You agree to defend, indemnify, and hold harmless Protera Health, the Professional Corporations, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Services; your violation of these Terms; your violation of applicable law; your negligent or wrongful acts or omissions; or your misrepresentation.
13. Modification, Suspension, and Termination
We may modify or discontinue all or part of the Services at any time. We may suspend or terminate your access to the Services immediately if we believe you have violated these Terms, applicable law, or our policies; engaged in abusive, harassing, threatening, fraudulent, or otherwise inappropriate behavior; or if required by law or for operational reasons. You may stop using the Services and request account deactivation at any time. Upon termination, your rights to use the Services cease, but sections of these Terms that by their nature should survive will survive, including those relating to privacy, IP, indemnity, disclaimers, limitations of liability, arbitration, and governing law. Subject to applicable law, we may retain and/or delete information in accordance with our records management obligations and policies.
14. Governing Law; Dispute Resolution; Arbitration and Class Action Waiver
These Terms and your use of the Services are governed by the laws of the State of Michigan, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms or the Services will be resolved through binding arbitration on an individual basis, rather than in court, and without a jury, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or the confidentiality or security of data. The arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The seat and venue of arbitration will be Oakland County, Michigan, and the language will be English. The arbitrator may award any relief available in court, subject to the limitations of these Terms. The prevailing party will be entitled to recover reasonable attorneys' fees and costs in connection with any arbitration or action to compel or enforce arbitration.
You and Protera Health agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative action. The arbitrator may not consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.
If the class action waiver is found unenforceable, the entirety of this arbitration provision will be null and void, and the dispute will be resolved in the state or federal courts located in Michigan, and you consent to personal jurisdiction in those courts.
15. Miscellaneous
These Terms constitute the entire agreement between you and Protera Health regarding the Services and supersede all prior or contemporaneous understandings. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remainder will remain in full force and effect. No waiver of any provision is a waiver of any other provision, nor a continuing waiver. You may not assign or transfer these Terms without our prior written consent. Protera Health may assign these Terms without restriction. No agency, partnership, joint venture, or employment relationship is created by these Terms. Headings are for convenience only.

1. Scope of Service
Protera, on its own behalf and on behalf of the Professional Corporations, makes certain information available to you regarding the Service. Our Privacy Policy details how we may use, share and maintain any information that you provide to us or to the Professional Corporations. Protera's role is limited to making such information available to you and/or facilitate your access to the Service, on behalf of the Professional Corporations as their "business associate" as that term is defined under the Health Insurance Portability and Accountability Act of 1996, as amended, and its implementing regulations ("HIPAA"). Protera is independent from the Professional Corporations and the healthcare providers that may provide you with telehealth clinical and/or physical therapy services through the Professional Corporations. Protera is not responsible for the Professional Corporations' acts, omissions or for any content of the communications made by them to you. Protera does not engage in the practice of medicine or physical therapy nor does it provide any other healthcare or clinical services.
The Service provides a variety of content, products, and services, which may include, as applicable, the Protera Health application, data analysis, participant access to his/her personal health account, personalized health education, access to other mobile and web-based technologies. Features and specifications of products or services described or depicted as part of the Service are subject to change at any time without prior notice.
As a condition to use of the Service, you agree that you will not use the Services in a manner inconsistent with (i) these Terms of Service, or (ii) any and all applicable laws and regulations.
Any content accessed through the Service is for informational purposes only, and is not intended to cover all possible uses, directions, precautions, drug interactions, or adverse effects. The Service should not be used during a medical emergency or for the diagnosis or treatment of any medical condition. Do not ignore or delay obtaining professional medical advice because of information accessed through the Service.
Reference to any product, recording, event, process, publication, service, or offering of any third party by name, trade name, trademark, service mark, company name, or otherwise, does not constitute or imply the endorsement or recommendation of such by Protera Health. PROTERA HEALTH IS NOT RESPONSIBLE OR LIABLE FOR ANY MEDICAL ADVICE, COURSE OF TREATMENT, DIAGNOSIS OR ANY OTHER INFORMATION, SERVICES OR PRODUCTS THAT YOU MAY OBTAIN THROUGH THE SERVICE.
2. Your Account and your Use of the Protera Health Service
You must provide accurate and complete information any time you initially register or continue to use the Service. It is your responsibility to provide us with true, accurate, and complete email address, contact, and other information related to your account(s), and to maintain and promptly update any changes in this information. You are responsible for maintaining the confidentiality and security of your password and account credentials, and you are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify Protera Health of any unauthorized use of your password or account, and (b) ensure that you properly exit from your account at the end of each session. Protera Health shall not be liable for any loss or damage arising from your failure to comply with any of these terms and conditions.
The following actions are expressly prohibited in relation to your user name and password used to obtain the Service:
- Sharing, disclosing, permitting access to, or otherwise facilitating the use by any person of your user name and password or accessing, copying, or storing any part of the Service for non-personal use;
- Using the user name and password to cache the Service in such a manner as to be accessible by persons who have not properly registered with Protera Health; or
- Using the user name and password to permit multiple persons access to the Service through a local or wide area network.
- If you have forgotten your user name or password, the Service will use an email address previously provided by you to send your user name or temporary password. You understand that any other individuals using the same email address will be able to gain access to your Service account information.
Your use of the Service and any content accessed through the Service must comply with all applicable laws, regulations, and ordinances, including any laws regarding the export of data or software. You must be at least 18 years old to register and use the Service. You may not interfere with or disrupt the proper operation of the Service.
If you use Protera Health's mobile services to enter and maintain your personal information, you understand that you are responsible for safeguarding and securing your mobile device and the associated credentials (such as user identifiers and passwords). If you leave your mobile device unattended, or if it is lost or stolen, you understand that your personal information may be accessible to others. By providing your phone number to Protera Health, you expressly consent to Protera Health calling or texting you at this phone number - in person or through an automated system.
3. Messages and Communications
By opting in you are agreeing to receive informational messages, including but not limited to phone calls, text/SMS messages and electronic mail (e-mail). You can cancel these services at any time. Just email care@proterahealth.com and ask to stop receiving messages and phone calls. After this, you will no longer receive messages from us unless you request us to restart messaging you. However, please note that opting out of your receipt of messages/phone calls from us may impact the Service. If you want to join again, contact us at care@proterahealth.com. If you are experiencing issues with the messaging program you can contact Protera Health for help directly at care@proterahealth.com. Carriers are not liable for delayed or undelivered messages. As always, message and data rates may apply for any messages sent to you from us and to us from you. If you have any questions about your text plan or data plan, it is best to contact your wireless provider. If you have any questions regarding privacy, please read our Privacy Policy.
4. Use of your Information / Privacy Policy
If you create, transmit, or display information while using the Service, you may provide only information that you own or have the right to use. Protera Health will only use information you provide as permitted by the Privacy Policy, Notice of Privacy Practices, and applicable law. The purpose of our Privacy Policy is to identify the information we collect online, the steps we take to protect it and your choices regarding how that information is used. In addition, when Protera Health is acting as a Covered Entity or Business Associate under HIPAA, our Notice of Privacy Practices applies to those services.
5. Intellectual Property
The Service is owned by Protera Health. We grant to you, for your personal purposes only, a nonexclusive, limited and revocable right to access and use the Service, so long as you comply with the terms of these Terms of Service. You agree not to use the Service for any other purpose, including commercial purposes, such as co-branding, framing, linking, or reselling any portion of the Service without our prior written consent.
All materials available through the Service may be accessed, downloaded, or printed for the user's own personal, noncommercial purpose and solely within the scope allowable by these Terms of Service. No other use of these materials is allowed without express written permission of Protera Health.
Any unauthorized use of the words or images from the Service may violate copyright laws, trademark laws, the laws of privacy and publicity, and civil and criminal statutes. The Service includes material that is derived in whole or in part from materials that are copyrighted, including the content, format and layout of the Service. The copyrights are owned by Protera Health, or for licensed content, the content providers.
None of the names, trademarks, service marks and logos of Protera Health appearing on the Service may be used in any advertising or publicity, or otherwise to indicate Protera Health's sponsorship of or affiliation with any product or service without express written permission of Protera Health. Nothing contained within the Service should be construed as granting, by implication, estoppel, waiver, or otherwise, any license or right of use to any trademark displayed on or through the Service without the written permission of Protera Health or the third-party owner of the trademark, if any. The Service may contain other proprietary notices and copyright information, the terms of which must be observed and followed by you.
You understand and agree that any and all comments, suggestions, ideas or feedback (collectively, "Feedback") you provide us about the Service or any Protera Health products or offerings, including how to improve them, is or becomes the exclusive property of Protera Health, including any associated rights to such Feedback, and Protera Health may freely use, copy, make, sell, reproduce or modify Feedback in any manner without consent, obligation or compensation to you.
6. Risks and Benefits
You understand that there are risks associated with the Service, including, but not limited to, the following: (a) loss of records from failure of electronic equipment; (b) power failures with loss of communication; and (c) access of electronic records by third parties (hackers). Finally, you understand that it is impossible to list every possible risk, consequence, and benefit of Service.
7. Rights
You understand that you have all the following rights with respect to the Service:
Free Choice. You have the right to withhold or withdraw your consent to Service at any time without affecting your right to future care or treatment.
Access to Information. You have the right to request a copy of all health information transmitted during the Service, which are described in more detail in our Notice of Privacy Practices.
Confidentiality. You understand that the laws that protect the confidentiality of health information apply to the Service, and that no information or images from such interaction which identify you will be disclosed to other entities without your consent, unless otherwise permitted by law.
Consequences. You understand that, by consenting to the Service, healthcare providers and physical therapists associated with the Professional Corporations may communicate your health information to physicians, physical therapists and other healthcare providers.
8. Browser Access and Internet Services
You are responsible for obtaining, installing, maintaining and operating all software, hardware or other equipment (collectively, "Systems") necessary for you to access and use the Service. This responsibility includes, without limitation, your utilizing up to date web-browsers and strong encryption, antivirus, anti-spyware, and internet security software. You are additionally responsible for obtaining internet services via the internet service provider of your choice, for any and all fees imposed by such internet service provider and any associated communications service provider charges. You acknowledge that there are certain security, corruption, transmission error, and access availability risks associated with using open networks such as the internet, and you hereby expressly assume such risks. You acknowledge that you are responsible for the data security of the Systems used to access the Service, and for the transmission and receipt of information using such Systems. You acknowledge that you have requested access to the Service for your convenience, have made your own independent assessment of the adequacy of your internet and Systems, and that you are satisfied with that assessment. We are not responsible for any errors or problems that arise from the malfunction or failure of the internet or your System.
9. Links to Other Sites
The Service may contain third-party-owned content (e.g., articles, data feeds, abstracts, etc.) and may also include hypertext links to third-party-owned websites. We provide such third-party content and links as a courtesy to our users. We have no control over any third-party owned web sites or content referenced, accessed by or available through the Service and, therefore, we do not endorse, sponsor, recommend or otherwise accept any responsibility for such third party web sites or content or for the availability of such web sites. IN PARTICULAR, WE DO NOT ACCEPT AND EXPRESSLY DISCLAIM ANY LIABILITY ARISING OUT OF ANY ALLEGATION THAT ANY THIRD-PARTY OWNED CONTENT (WHETHER PUBLISHED ON THE SERVICE OR ANY OTHER WEBSITE) INFRINGES THE INTELLECTUAL PROPERTY RIGHTS OF ANY PERSON OR ANY LIABILITY ARISING OUT OF ANY INFORMATION OR OPINION CONTAINED ON SUCH THIRD-PARTY WEB SITE OR CONTENT. If you link to third-party sites from Protera Health, you should consult the policy statements of each site you visit.
10. Authorization for Assignment of Benefits
If you are entitled to benefits under any insurance policy or other health benefit plan ("Health Plan"), in consideration of your receipt of the Service, you irrevocably assign, transfer and convey all rights and benefits payable under the Health Plan for Service rendered by Protera Health and/or the Professional Corporations. You agree to cooperate with any efforts by Protera Health to secure reimbursement for the Service provided. Further, you designate Protera Health as your authorized representative. By this assignment and designation, you authorize payment to be made directly to Protera Health and the Professional Corporations. You understand that this authorization and designation does not relieve you of financial responsibility for charges incurred by you. If your Health Plan sends you payments for the Service, you are to immediately send those payments to Protera Health. If you fail to do so, you will be responsible for those amounts, in full, as well as any associated cost-share, deductible, co-pay and/or co-insurance. In the event you overpay for the Service, you authorize Protera Health to apply such overpayment to satisfy any outstanding charges you owe for the Service. This authorization does not include Health Plan payments made on your behalf. You further authorize and irrevocably assign to Protera Health the following rights:
- To communicate with your Health Plan, to request any adjustment to your Health Plan's reimbursement of the Service provided, and to file any and all necessary claims, demands or appeals with your Health Plan arising from a denied, underpaid or misclassified claim;
- To demand and receive the production of, or access to, any documents and information, including, without limitation, any copies of Health Plan documents, coverage policies, guidelines and any other materials affecting the coverage and reimbursement of any Service provided to you, from any entity or person to the fullest extent of your rights to do so under applicable law;
- To bring legal action, if needed, in any forum against your Health Plan under applicable laws, including, without limitation, to the extent applicable, the Employee Retirement Income Security Act of 1974, as amended ("ERISA") and/or the Federal Employee Health Benefit Act, as amended;
- To recover benefits under the terms of your Health Plan, to enforce your rights under the terms of your Health Plan, or to clarify your rights to future benefits under the terms of your Health Plan;
- To enjoin any act or practice which violates any provision of ERISA or the terms of your Health Plan, or to obtain other appropriate equitable relief to redress such violations or to enforce any provisions of ERISA or the terms of your Health Plan; and
- To recover the costs of pursuing such action, including, reasonable attorney fees, as permitted.
The foregoing designation and assignment of benefits and rights are without limitation and without reservation of any part or aspect thereof.
11. Covered and Non-Covered Services
If you provide information to us about your Health Plan and agree to these Terms of Service, you acknowledge and agree that your purchase of the Service may include both (i) "Covered Services" (as such term is defined by your Health Plan) and (ii) services that are NOT "Covered Services" and/or not reimbursed by your Health Plan ("Non-Covered Services"). Covered Services can include appointments with a health care provider and/or physical therapist. Non-Covered Services can include coaching, physical therapy, as well as tools and services meant to enhance your healthcare experience.
12. Insurance; Authorization and Assignment of Benefits
If you provide insurance information, you represent that it is accurate and complete. You authorize Protera and/or the Professional Corporations to disclose information to your Health Plan as needed to determine eligibility and process claims; to submit claims on your behalf; to appeal adverse benefit determinations; and to receive payment of benefits directly for Services provided. If your Health Plan sends payment to you for Services provided by Protera or the Professional Corporations, you agree to promptly remit those amounts to Protera Health. You are responsible for all charges not covered or payable by your Health Plan, including copayments, coinsurance, deductibles, non-covered services, and any amounts your Health Plan determines to be your responsibility.
13. Self-Pay and Payment Terms
If you receive Services that are not covered by your Health Plan or if you choose to pay cash, you agree to be solely responsible for payment at the time of service. By providing a payment method, you authorize Protera Health or its billing partners to charge all fees, taxes, and applicable charges to that method, and to correct any errors. You agree to keep your billing information current, and you certify that you are an authorized user of the payment method. If a payment is returned or rejected, we may attempt to reprocess the charge and/or invoice you for the outstanding amount.
Protera Health may maintain a current fee schedule and may charge a no-show or late cancellation fee for appointments not canceled at least 24 hours in advance. Any refund policies applicable to products or services will be disclosed at the point of purchase.
In addition to the foregoing authorization for assignment of benefits, by agreeing to use the Service, you acknowledge and agree that, to the extent the Service you use is a Non-Covered Service: (1) you are explicitly choosing to obtain products and services on a cash basis outside of any federal or state healthcare program and you have sole financial responsibility for all Non-Covered Services provided to you, and (2) neither you nor Protera Health will submit a claim for reimbursement to any federal or state healthcare program for the costs of such services and products provided to you through the Non-Covered Services.
Subject to any ability to refund as outlined in the following sections, you agree that you will be charged for the Service by providing a credit card or other payment method accepted by Protera Health ("Payment Method"), and you are expressly agreeing that Protera Health is authorized to charge to the Payment Method any fees for Service, together with any applicable taxes. You agree that you will be charged for the Service in accordance with the payment schedule as set forth in the Protera Health invoice issued to you.
You agree that authorizations to charge your Payment Method remain in effect until you cancel it in writing by notification to care@proterahealth.com, and you agree to notify Protera Health of any changes to your Payment Method. You certify that you are an authorized user of the Payment Method and will not dispute charges for the Non-Covered Services. You acknowledge that the origination of ACH transactions to your account must comply with applicable provisions of U.S. law. In the case of an ACH transaction rejected for insufficient funds, Protera Health may at its discretion attempt to process the charge again at any time within 30 days.
If you provide information about your Health Plan and agree to use the Service, in addition to the foregoing authorization for assignment of benefits, you acknowledge and agree that, to the extent the Service you use are Non-Covered Services, you are explicitly choosing to obtain products and services on a cash basis ("Self-Pay") outside of any federal or state healthcare program and you have sole financial responsibility for all Non-Covered Services provided to you. You agree that your Payment Method will be charged for the Non-Covered Services in accordance with the payment schedule as set forth in your invoice. You are responsible for payment of Non-Covered Services at the time of the service. Your Payment Method will be charged the cost-share, deductible, co-pay, and/or co-insurance once your appointment is completed.
14. Disclaimer of Warranty; Limitation of Liability
By using the Service, you agree and represent to Protera Health that you have the power and legal authority to accept and agree to these Terms of Service on behalf of yourself, and that you own all of the legal rights to the information you provide and grant the rights and licenses granted herein; and all information that you provide to Protera Health or its employees and/or affiliates is accurate, complete, and true when provided.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. PROTERA HEALTH AND ITS SUPPLIERS DISCLAIM ALL EXPRESS AND IMPLIED WARRANTIES WITH REGARD TO THE INFORMATION, SERVICES AND MATERIALS CONTAINED ON THE SERVICE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK. ACCESS TO THE SERVICE MAY BE INTERRUPTED AND INFORMATION, SERVICES AND MATERIALS MAY NOT BE ERROR-FREE. NONE OF PROTERA HEALTH, ITS SUPPLIERS OR ANYONE ELSE INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICE OR THE INFORMATION, SERVICES, AND MATERIALS CONTAINED THEREIN ASSUMES ANY LIABILITY OR RESPONSIBILITY FOR THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION, SERVICES, AND MATERIALS PROVIDED ON THE SERVICE; THEY ALSO SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF, OR INABILITY TO USE, THE SERVICE FOR ANY REASON. YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THIS AGREEMENT AND THE SERVICE WOULD NOT BE PROVIDED TO YOU ABSENT SUCH LIMITATIONS. PLEASE NOTE THAT SOME JURISDICTIONS MAY NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
15. Adverse Technical Events
The transmission of information on the Service is beyond Protera Health's control. Accordingly, Protera Health assumes no responsibility for, or relating to, delay, failure, interruption, or corruption of any data or other information transmitted in connection with the use of the Service or sites accessed through the Service.
16. Limitation on Use by Minors
The Service is intended for use by individuals who are at least eighteen (18) years of age or such older age as may be required by applicable state laws in the jurisdiction in which an individual accesses the Service. The Service is not designed or intended to attract, and is not directed to, children under eighteen (18) years of age. If Protera Health obtains actual knowledge that it has collected personal information through the Service from a person under eighteen (18) years of age, Protera Health will use reasonable efforts to refrain from using such personal information or maintaining it in retrievable form. Individuals under eighteen (18) years of age (and/or their parent or guardian) may contact Protera Health if they believe their personal information has been collected and/or displayed on the Service and request its removal and/or destruction.
Please note that Protera Health is not required to erase or otherwise eliminate, or enable erasure or elimination of such content or information in certain circumstances, such as, for example: (1) when an international, federal, state, or local law, rule, or regulation requires Protera Health to maintain the content or information; (2) when Protera Health maintains the content or information on behalf of a user's healthcare provider as part of such user's medical record; (3) when the content or information is stored or posted to the Service by a third party other than the user (including any content or information posted by the user that was stored, republished, or reposted by the third party); (4) when Protera Health anonymizes the content or information, so that such user cannot be identified individually; (5) when such user does not request that such information be removed from the Service; and (6) when such user has received compensation or other consideration for providing the content or information.
The foregoing is not intended to be an admission that Protera Health is subject to the Child Online Privacy Protection Act, the Federal Trade Commission's Children's Online Privacy Online Protection Rule(s), or any similar international, federal, state, or local laws, rules, or regulations.
17. Indemnification
You agree to indemnify, defend, and hold harmless Protera Health and its suppliers and their respective affiliates, employees, officers, directors, agents, and representatives of each from any third-party liability, loss, claim, suit, damage, and expense (including reasonable attorneys' fees and expenses) related to (i) your violation of these Terms of Service; (ii) your misuse of the Service, including any features, functionality, tools, content or promotions available through the Service; (iii) your posting of material to the Service; (iv) your misrepresentation, gross negligence or willful misconduct; and (v) your breach of federal, state, local, or other applicable laws or regulations.
18. Applicable Law
The Service is offered solely in the United States and may be accessed solely from the United States. You agree that the statutes and laws of the State of Michigan, without regard to any principles of conflicts of law, will apply to any and all matters relating to the use of the Service. Any dispute between Protera Health and you related to these Terms of Service shall be resolved exclusively in and by the state and federal courts of the State of Michigan.
19. Modification and Termination of the Protera Health Service
You may terminate your use of the Service at any time by not using the Service anymore. Protera Health reserves the right to terminate accounts for any reason it deems appropriate including, but not limited to, a belief that your conduct or your use of the Service violates applicable laws or is harmful to the interests of Protera Health, its clients or any other users, your abusive, harassing, threatening or otherwise inappropriate behavior, or illegal or inappropriate conduct, such as falsifying information to receive our Service. Protera Health also may place limits on, modify, suspend, or terminate the Service generally, as it deems appropriate or in response to a legal or regulatory change, and may suspend or terminate your use of the Service if you fail to comply with these Terms of Service. This suspension or termination may delete your information, files, and other previously available content. If Protera Health terminates the Service or your use of the Service, these Terms of Service will also terminate, but Sections 2, 4, 5, 10, 14, 15, 16, 17, 18, 19, 20, and 21 shall continue to be effective after your termination of use of the Service.
20. Arbitration
In the event of any dispute between you and Protera Health, you agree that such dispute shall be resolved through arbitration in Oakland County, Michigan by the American Health Lawyers Association ("AHLA") Dispute Resolution Service and conducted pursuant to the applicable AHLA Rules of Procedure for Arbitration (the "Arbitration Rules"). The fees and expenses of any arbitration shall be allocated in accordance with the "Standard Allocation" provisions of the Arbitration Rules. The award of the arbitrator shall be final, binding and conclusive on all parties to the arbitration.
21. General Legal Terms
If you have not signed a separate written agreement with Protera Health related to the Service, these Terms of Service, along, is the entire agreement between you and Protera Health related to the Service, replacing any prior agreements. If there is any conflict between these Terms of Service and a signed written agreement between you and Protera Health related to the Service, these Terms of Service will control. If any provision of these Terms of Service is determined to be invalid, illegal, or unenforceable, the remaining provisions of these Terms of Service remain in full force, provided that the essential terms and conditions of these Terms of Service remain valid, binding and enforceable and the economic and legal substance of the transactions contemplated by the Terms of Service are materially preserved. You may not assign, transfer, or delegate any of your rights or obligations under these Terms of Service, without our prior written consent. Protera Health may assign, transfer, or delegate our rights and obligations under these Terms of Service, in whole or in part, in our sole discretion. The United States export control laws regulate the export and re-export of technology originating in the United States. This includes the electronic transmission of information and software to foreign countries and to certain foreign nationals. You agree to abide by these laws and their regulations. Nothing in this agreement creates an agency, partnership, or joint venture. Failure to enforce any provision will not constitute a waiver of that provision.

1. Who We Are & How This Privacy Policy Applies
When Protera handles protected health information ("PHI") for an individual's care, it does so as a Business Associate ("BA") under the Health Insurance Portability and Accountability Act of 1996, as amended from time to time ("HIPAA"), pursuant to a Business Associate Agreement ("BAA") with the Professional Corporations.
The Notice of Privacy Practices ("NPP") explains individuals' rights under HIPAA, how the Professional Corporations use and disclose PHI, and how the Professional Corporations permit Protera to use and disclose PHI. As used herein, "protected health information" or "PHI" means individually identifiable health information that is created, received, used, or maintained by a Professional Corporation, to the extent covered under HIPAA, which relates to an individual's health, treatment, or payment for healthcare services.
NOTE: This Privacy Policy is not intended to cover the collection or use of PHI. To the extent there is a conflict between this Privacy Policy and the NPP, the NPP will control with respect to PHI.
2. The Information We Collect
We collect information that identifies, relates to, or could reasonably be linked to an individual or their household, but does not relate to their health information, treatment, or payment for healthcare services. This information may include:
- Personal and Contact Information: name, date of birth, phone number, mailing address, physical location, and email address
- Employment-Related Information: employer and title
- Communications: contents of communications sent to customer support staff
- Usage data: device and browser type, IP address, app and site activity, pages viewed, referring pages, date/time stamps, crash logs, and similar usage and analytics data.
- Location data: If you enable location services, we may collect approximate or precise location to support features (you can disable location in your device settings).
- Other Information: any other personal information you choose to provide in forms or communications with us.
Some of the information listed here--like contact information--may be considered PHI if it is collected, received, or maintained by a Professional Corporation, or by Protera on behalf of a Professional Corporation, and is connected to an individual's health, treatment, or payment for healthcare, in which case it would be treated in accordance with the NPP. If the information is not related to an individual's health, treatment, or payment for health care, it is treated in accordance with this Privacy Policy. Similarly, if the information is collected by, or on behalf of, Protera and not on behalf of a Professional Corporation, it is treated in accordance with this Privacy Policy.
We collect personal information from individuals, through direct inputs on the Services, as well as from our use of tracking technologies on the Services. For example:
- An individual from a health plan may submit their name, email address, phone number, and company name to inquire about how a Professional Corporation's services can assist in reducing musculoskeletal costs for its members and their beneficiaries.
- Cookies on the Services may automatically collect an individual's browser type, Internet connection, equipment information, resource requested, IP address, and geolocation. 3. Information Automatically Collected
We use cookies to automatically collect information when individuals use the Services. Cookies are small text files that can be placed on your device by websites, apps, or even certain online ads. We may disclose de-identified or aggregated information (which cannot reasonably identify you) for analytics, research, and to improve our Services.

With respect to personal information, depending on your state of residence and our processing activities, you may have the following rights:
- Right to Confirm: The right to confirm whether or not we are processing your personal information.
- Right to Access: The right to access your personal information, subject to exceptions set out in the applicable state law.
- Right to Delete: The right to request that we delete any of your personal information that we collected from or about you and retained, subject to certain exceptions set out in the applicable state law.
- Right of Correction: The right to request that we correct any of your personal information that is inaccurate.
- Right to Obtain a Copy: The right to obtain a copy of or otherwise receive the personal information that you have provided to us in a portable, readily usable format that can be easily transferred to third parties.
- Right to Opt Out: The right to opt out of the following uses of your personal information: Sale; Sharing for targeted behavioral advertising; and Profiling. Please note, we do not "sell" or "share" personal information or conduct "profiling" as those terms are defined under applicable law.

We may deny a request to change personal information if we believe the change would violate any law or legal requirement or cause the personal information to be incorrect. If you no longer wish to receive these communications, you can unsubscribe from receiving emails by emailing care@proterahealth.com with the subject "Unsubscribe" or you can unsubscribe from receiving text messages by replying STOP to any mobile marketing message received from us. Please note, you may continue to receive certain health and care-related communications from us.
8. How We Protect Information
We use administrative, technical, and physical safeguards designed to protect your information, including encryption in transit, access controls, secure development practices, and vendor due diligence. Although we have implemented reasonable safeguards, please note that no electronic transmission of information can be guaranteed to be entirely secure. You acknowledge and agree that we are not responsible for the theft, destruction, or inadvertent disclosure of your personal information.
9. Data retention
We keep personal information only as long as needed for the purposes described in this Privacy Policy, to comply with legal, regulatory, or contractual obligations, to resolve disputes, and to enforce our agreements. We then delete or de-identify it consistent with applicable law and our retention policies.

The Services are not intended for children under 13, and we do not knowingly collect personal information from them.
